(A)"Manganese Ore" means the solid mineral contains Manganese (Mn).

(B) "U.S. Currency" means the currency of the United States of America freely Transferable from and payable to an external account.

(C) "Metric Ton" means a ton equivalent to 1000 Kilogram.

(D) "Wet basis" means Manganese Ore in its natural wet state

(E) "Dry basis" means Manganese Ore dried at 105 degrees Centigrade

(F) "MT" means Metric Ton, “DMT” means Dry Metric Ton, “WMT” means Wet Metric Ton.

(G) 1% Mn = 1 Unit of Mn Content. 1％Mn

If Mn 44.30%, Units of Mn Content = 44.30.

If Mn 42.21%, Units of Mn Content = 42.21.

Manganese Ore must be crushed, sieved and shall be free of soils, slags, radioactivity and contaminants.

PROCEDURES:

NON-NEGOTIABLE TERMS TO INITIATE TRANSACTION

1. BUYER send the LOI to Seller.

2. The Seller will issue the SCO for the buyer’s review and acceptance.

3. Buyer issues ICPO to end seller.

4. The Seller forward draft SPA to buyer for amendment and acceptance by seller with full KYC documents including bank details from which LC is issued.

5. Buyer sign sealed and forward back to seller’s signature.

6. Seller issues an indicative Pro-forma Invoice – (OPI) to the Buyer with Past Bill of Lading (BoL)

7. Buyer issues a Documentary Credit (DLC) MT 700 Irrevocable and Confirmed in favor of the seller.

A) Then once the instrument MT700 has been received and confirmed, Seller within 15 days, the Seller will notify the Shipping Forwarding Company on stock allocation at site and will arrange goods collection schedule,

B) Seller shall send attach copies of export Documents to the buyer for Preclearance of imports in his jurisdiction.

C) Exports will be done within a period of 35/45 days to destination Port.

8. Authenticated Shipping documents and inspection assay report from appointed accredited inspection authority at the Loading in DRC/ Kenya and or the Exit port of loading in Kenya shall be issued by Seller to the Buyer.

9. The goods specified in each and every shipment remain the property of The Seller until full and final settlement has been received and confirmed by their bankers/financiers.

10. AFTER THE SHIPMENT IS READY ON PORT OF LOADING, SELLER PROVIDES ALL SHIPMENTS DOCUMENTS AS PER AGREEMENT BETWEEN BUYER AND SELLER.

11. SELLER BANK SENDS COPY FULL SET SCANNED SHIPPING DOCUMENTS TO BUYER BANK FOR FINAL PAYMENT THE BUYER BANK WILL PAY BY WIRE TRANSFER MT103-72 TO SELLER BANK WITHIN 1 TO 2 BANKING DAYS.
