We expect these same commitments to be shared by allof oursuppliers, agents and other third partieswith whom we dobusiness (“Suppliers”).It is our fundamental expectationthat allSuppliersmeet thefollowing standards. Thesestandards are aconditionfor doing business withus, andbyfurnishingproducts, goods, articles or services, as well as the issuance of invoices for the same,Supplier iscertifyingitscompliance with this Code of Conduct with respect toproducts, goods, articlesorservices referenced insupplier’s invoices, as well as the materials included in such products. If aSupplier does not comply with the provisions of this Code of Conduct and other HORIZON policies andprocedures,we mayterminateSupplier’s relationship with us. In addition, there could also be criminalpenalties and civil liabilities for violating the standards outlined in this Code of Conduct.
Child Labor
Supplierswill not use child labor.HORIZON does not accept child
labor and supports the United Nations (U.N.) Convention on theRights of the Child (1989). This code of conduct is based on theInternational LaborOrganization(ILO) Minimum Age Conventionno. 138 (1973) and Worst Forms of Child Labor no. 182 (1999).
The term"child"refers to a person younger than 15 (or 14 wherelocal law allows) or, if higher, the local legal minimum age foremployment or the age for completing compulsory education.
If child labor is found in any place of production,HORIZON willrequire the Supplier to implement a corrective action plan. Ifcorrective action is not implemented within the agreed time-frame,or if repeated violations occur,HORIZON may terminate all businesswith the Supplier concerned. The corrective action plan shall takethe child’s best interests into consideration, i.e. family and socialsituation and level of education. Care shall be taken not merely tomove child laborfrom one Supplier’s workplace to another, but toenable more viable and sustainable alternatives for the child’sdevelopment.
Suppliersemploying young persons who do not fall within thedefinition of"child"will also comply with any laws and regulationsapplicable to such persons.
Involuntary Labor
Supplierswill not use any forced or involuntary labor, whetherprison, bonded,indenturedor otherwise.Suppliers will not engagein human trafficking or slavery practices of any kind.
Coercion andHarassment
Supplierswill treat each employee with dignity and respect, and willnot use corporal punishment, threats of violence or other forms ofphysical, sexual, psychological or verbal harassment or abuse.
Nondiscrimination
Supplierswill not discriminate inhiring and employment practices,including salary, benefits, advancement, discipline, termination orretirement,nor shall any employee be demoted, discharged orotherwise subject to discrimination in the tenure, position,promotional opportunities, wages, benefits or terms and conditionsof their employment,on the basis of race, religion, age, nationality,social or ethnic origin, sexual orientation,gender, political opinionor disabilityor for exercising any rights afforded by law.Suppliersshall comply with allapplicablelaws, rules and regulationspromoting fair employment practices or prohibiting employmentdiscrimination and unfair labor practices.
Associations
Supplierswill respect therightof employees to associate, organizeand bargain collectively in a lawful and peaceful manner, withoutpenalty or interference.
Workplace Violence
Supplies will maintain a workplace free from acts or threats ofviolence and effectively and promptly respond if acts or threats ofviolence do occur.
Health and Safety
Supplierswill provide employees with a safe and healthy work placein compliance with all applicable laws and regulations, ensuring atminimum reasonable access to potable water and sanitary facilities,fire safety, and adequate lighting and ventilation.Supplierswill alsoensure that the same standards of health and safety are applied in anyhousing that they provide for employees.
All products should comply with applicable international productstandard, especiallyconcerning health and safety aspects followingfrom a normal and/or expected use of the product.
Compensation
We expectSuppliersto recognize that wages are essential to meetingemployees'basic needs.Supplierswill,at a minimum,comply withall applicable wage and hour laws and regulations, includingthoserelating to minimum wages, overtime, maximum hours, piece ratesand other elements of compensation,andwillprovide legallymandated benefits. If local laws do not provide for overtime pay,Supplierswill pay at least regular wages for overtime work.Exceptin emergency or unusual situations, a workweek shall be restricted to60 hours, including overtime, and workers shall take at least one dayoff every seven days. All overtime shall be voluntary. Under nocircumstance shall workweeks exceed the maximum permitted underapplicable laws and regulations.Where local industry standards arehigher than applicable legal requirements, weexpectSuppliertomeet the higher standards.
Protectionof theEnvironment
Supplierswill comply with all applicable environmental laws andregulationsand with HORIZON’s applicable environmental initiatives.Suppliers will strive to utilize resources appropriately and efficientlyand dispose of all waste in accordance with applicable laws, rulesand regulations.
Conflict Minerals
Bribes, Illegal Payments, andIllegal Solicitations
Corruption, extortion and embezzlement in any form is strictlyprohibited.Suppliers will not bribe government officialsor othersinviolation of the U.S. Foreign Corrupt Practices Act (FCPA), the UKBriberyActor the laws of any country in which Supplier doesbusiness. Suppliers will notcorruptlyoffer, pay, authorize, orpromise to pay money or provide anything of value to agovernmentofficial to obtain ormaintainbusiness.
Other Lawsand Regulations
Suppliers will comply with all applicable laws and regulations,including anti-competition and unfair trade practices laws and thosepertaining to the manufacture, pricing, sale and distribution ofmerchandise and the provision of services. All references toapplicable laws and regulations in this Code of Conduct includelocal, state and national codes, rules, laws, and ordinances andregulations, as well as applicable treaties and industry standards.
Subcontracting
Supplierswillnotify us of anyuseofsubcontractors, and suchsubcontractors must comply with this Code of Conduct.We supportour Supplier’s efforts to purchase supplies and services fromcertified minority or women-owned businesses, small businesses orbusinesses owned by socially or economically disadvantagedpersons or persons with disabilities.
Gifts and Entertainment
Solicitation of gifts, trips, cash or other incentives from Suppliers isnot permitted under any circumstances. No HORIZON employeemayaccept gifts or incentives that could influence, or reasonably appearto influence, his or her decision making.Cash and cash equivalents(gift cards) are prohibited in all cases. Any commission, fee, orpayment of any sort from a Supplier in connection with work forusis strictly prohibited.Business lunches, dinners, and similar outingswhen conducted in the normal course of business are permitted ifattending would not influence or be expected to influence thebusiness judgment of the HORIZON employee.
Conflicts of Interest
Suppliers must avoid engaging in any business activity that wouldconflict or interfere with their provision of products and services to HORIZON.
MonitoringandCompliance
Supplierswill authorize HORIZON and its designated agents(including third parties) to engage in monitoring activities to confirmcompliance with the Code of Conduct, including unannounced on-site inspections of manufacturing facilities and employer-providedhousing; reviews of books and records relating to employmentmatters;provision of reports on environmental and sustainabilitymatters at our request;and private interviews with employees.Supplierswill maintain on site all documentation that may be neededto demonstrate compliancewith this Code of Conduct.
Publication
Supplierswill take appropriate steps to ensure that provisions of thisCode of Conduct are communicated to employees, including theprominent posting of a copy of this Code of Conduct, in locallanguage and in a place readily accessible to employees, at all times.
